These Terms and Conditions (hereinafter referred to as “Terms”) govern your access to and use of the websites located at https://michaelandmatt.wetravel.com and/or https://sidequeststravel.wetravel.com and/or https://sidequeststravel.com (hereinafter referred to as the “Website” or “Company Website”), which is owned and/or operated by SideQuests Travel LLC, an Oregon corporation (referred to as the “Company”, “SideQuests Travel”, “we”, “us”, or “our”).

PLEASE REVIEW THE FOLLOWING TERMS CAREFULLY:

THESE TERMS, AS WELL AS ANY OTHER TERMS OR CONDITIONS INCORPORATED BY REFERENCE HEREIN (COLLECTIVELY REFERRED TO AS THIS “AGREEMENT”), ESTABLISH A LEGALLY BINDING CONTRACT BETWEEN YOU AND THE COMPANY.

BY CONTINUING TO USE OR ACCESS THE WEBSITE OR ANY OTHER COMPANY PROGRAM, YOU AUTOMATICALLY AGREE TO BE BOUND BY ALL PROVISIONS OF THIS AGREEMENT AS OF THE DATE OF YOUR INITIAL USE OF THE WEBSITE OR ANY COMPANY PROGRAM.

THE COMPANY RESERVES THE RIGHT TO CHANGE ANY PROVISIONS OF THIS AGREEMENT AT OUR SOLE DISCRETION AND AT ANY TIME, INCLUDING, BUT NOT LIMITED TO, CHANGES TO BOOKING A TRIP TERMS OR THE COMPANY’S PRIVACY POLICY. YOU WILL BE BOUND BY ALL UPDATES OF THIS AGREEMENT. THE COMPANY WILL NOT ACCEPT ANY CHANGES (ADDITIONS OR DELETIONS) TO THIS AGREEMENT PROPOSED BY YOU. THEREFORE, IF YOU DO NOT AGREE TO ALL TERMS AND CONDITIONS OF THIS AGREEMENT, YOU MAY NOT ACCESS OR USE THE WEBSITE OR ANY OTHER COMPANY PROGRAMS.

1. Definitions
1.10 "Traveler"
= Any individual who uses the Company Website to book a Trip.
1.11 "Host" = The trip liaison attending from SideQuests Travel LLC.
1.12 "Organizer" = The Operator as outlined in Section 2 of this agreement.
1.13 "Trip Leader" = The local representative assigned by the "Operator," who is responsible for coordinating the logistics of the Trip and overseeing the group.
1.14 "Trip" = The travel itinerary, including dates, pricing, and events as outlined on the Company Website.
1.15 "Trip Services" = The services provided for Travelers as outlined in Section 2 of this agreement.
1.16 "Trip Payments" = The payments made by the Company on behalf of the Traveler who books a Trip through the Company’s Trip Services, including payments to third parties as specified in the terms and conditions of the Booking.
1.17 "Trip Credit" = A voucher that can be applied towards a new Trip, and must be used within 365 days from the date of issue.

2. TRAVELER’S BOOKING TERMS AND CONDITIONS; SCOPE OF COMPANY’S TRIP SERVICES 2.1 Booking and Company’s Trip Services for Travelers

2.1.1 All Trip bookings by a Traveler must be made through the Company’s website or another authorized platform provided by the Company. By booking a Trip (hereinafter referred to as "Booking(s)" or "Book a Trip") with the

Company, you agree to the terms of this Agreement, including, without limitation to, all provisions in this Section 2 regarding the booking process. Your Booking will only be accepted under these terms unless a different cancellation policy is stated on your trip page. The specific payment terms for your Booking are outlined below.

2.1.2 The Trip Services provided by the Company when a traveler books a trip using the Company’s Website will be limited to the acceptance of the Booking and processing of Trip Payments as detailed in the Booking ("Trip Services"). The Traveler acknowledges and agrees that the Company’s sole and exclusive responsibility and liability in relation to the Booking and the Trip Services is limited to processing the Trip Payments to the appropriate third party or Operator.

2.1.3 All other services related to the Booking are the sole responsibility of the Trip Operator (the "Operator") identified in the Booking, and are governed by the terms and conditions of the Operator. The Operator is fully responsible for fulfilling any confirmed Bookings and ensuring that any trips reserved through the services are provided. Additionally, the Operator is solely responsible for delivering any information that is legally required to be shared with you. If you enter into a transaction with an Operator for booking a trip, you agree to accept the terms, conditions, rules, and restrictions imposed by the Operator, and you will receive necessary information directly from the Operator. You further acknowledge and agree to the following in relation to all bookings involving Operators:

(a) The Company is not a party to your agreement with any Operator, but acts solely as a neutral third party that facilitates your introduction to the Operator

(b) The Company’s sole responsibility under this Agreement, including all Bookings and Trip Services, is to transmit trip payments to the Operator

(c) The Company does not accept any responsibility arising from or related to your agreements with the Operator or any other third party, unless explicitly required by applicable law.

2.2 Down Payments: A traveler must pay a 25% deposit ("Down Payment") per person, per Booking, in order for the Booking to be confirmed. This Down Payment is refundable until the Booking is confirmed in writing. If the Booking is made more than 90 days before the scheduled departure, you will have 48 hours from the time of receiving confirmation to cancel without penalty. For Bookings made within 90 days of departure, the Booking becomes non-refundable once confirmed. Except as outlined below, the Down Payment is non-refundable after the Booking is confirmed. If a Booking is made within 90 days of the departure date specified in the Booking ("Departure Date"), the full amount is due at the time of Booking and will be treated as the Down Payment for this agreement.

2.3 Acceptance of Booking and Final Payments: Payments, other than the Down Payment, made towards the balance of the Booking are referred to as the “Additional Payments”. Payment of the balance of the Booking price is due 90 days before the Departure Date. If this balance is not paid on or before the due date, we reserve the right to cancel your Booking, subject to the cancellation and refund policy provided below.

2.4 Pricing and Surcharges: Prices are subject to fluctuations based on variable and seasonal pricing, which is standard in the travel industry. As a result, prices may change at any time, and it is possible that different Travelers on the same Trip may be charged different amounts. Any discounts or lower pricing that becomes available after you have made your Down Payment will not be applied to your Booking. If you decide to cancel your Booking in order to take advantage of a lower price, the full cancellation terms will apply. All prices are quoted in USD. We also reserve the right to apply surcharges up to 30 days before the departure date if there are unfavorable changes in exchange rates, increases in transportation costs, higher costs from local Operators, changes in taxes, or if government regulations require such adjustments.

2.5 Your Information: To confirm your travel arrangements for your Trip Booking, you must provide all required information at least 60 days before the departure date. The specific details needed may vary by Booking, but generally include, without limitation, your full name (as it appears on your passport), date of birth, nationality, passport number, passport issue and expiration dates, and any pre-existing medical conditions that could impact your ability to complete the travel arrangements. Failure to submit the requested details 60 days prior to the departure date may result in additional fees or the cancellation of your Booking without refund.

2.6 Traveler Cancellation: If you cancel all or part of your Booking, cancellation fees will apply. Your cancellation will be considered valid only once we have received written confirmation. Refunds will be processed according to the following terms:

2.6.1 If you cancel a confirmed Booking on or after 90 days prior to the departure date, both the Down Payment and any Additional Payments made will be retained by the Company and are non-refundable.

2.6.2 For Bookings with a departure date more than 90 days away, if your Booking has not yet been confirmed, you will be eligible for either a full refund of your Down Payment or a credit for the amount of the Down Payment and any Additional Payments, upon cancellation.

2.6.3 For confirmed Bookings with a departure date more than 90 days away, if you cancel outside of 48 hours after receiving the confirmation notice, you will receive a Trip Credit equal to your Down Payment, minus a $100 cancellation fee per canceled spot. If you leave a Trip after it has started, no refunds will be issued for unused services. Similarly, if you fail to join the Trip, join it after departure, or leave it early, no refund will be provided. These cancellation fees are in addition to any fees imposed by accommodation providers, travel agents, or third-party tour and transport operators. We are not responsible for any exchange rate fluctuations that could result in a smaller refund when converted to your local currency.

2.7 Cancellation by the Company

2.7.1 For Any Reason: We reserve the right to cancel a Booking for any reason up to 45 days before the departure date. If we cancel your Booking, you may either transfer your Down Payment and any Additional Payments to a new departure date or receive a full refund. However, in the event of cancellation for any reason, we are not

responsible for any incidental costs you may have incurred as part of your Booking, including but not limited to, visa fees, vaccinations, changes in exchange rates, travel insurance excess, or flights.

2.7.2 Force Majeure Event: Notwithstanding the above, the Company shall not be held liable or deemed to have defaulted or breached this Agreement for any failure or delay in fulfilling its obligations (including any terms related to a Booking) to the extent that such failure or delay is caused by events beyond the Company’s reasonable control. These events, referred to as "Force Majeure Events," include, but are not limited to, the following: (a) Acts of God; (b) Natural disasters such as floods, fires, earthquakes, pandemics, epidemics, droughts, bushfires, storms, or other environmental events, as well as public health and safety emergencies declared by relevant authorities; (c) War, invasion, hostilities (whether declared or not), terrorist acts or threats, riots, or other forms of civil unrest; (d) Government orders, laws, or actions; (e) Embargoes or blockades in effect after the date of this Agreement; (f) National or regional emergencies; (g) Strikes, labor stoppages, slowdowns, or other industrial disruptions; (h) Shortages of necessary power or transportation resources; (i) Any other events beyond the reasonable control of the Company. In the event of a Force Majeure Event, the Company will reschedule your Booking for a future date and notify you in writing. If you wish to cancel the rescheduled Booking, you may do so within 30 days of receiving the notice. In that case, you will be granted: (j) A Trip Credit for the amount of the Down Payment; and (k) Either a Trip Credit or a refund for the Additional Payments made.

2.8 Inclusions & Exclusions: Unless otherwise specified in your agreement with the Operator, the price of your Booking includes: All listed accommodations. All listed transportation. Listed activities. Listed meals. Listed Trip Leader. The price of your Booking does not cover any additional services or products and excludes, but is not limited to, the following: International or domestic flights unless explicitly stated. Taxes and excess baggage fees unless specified. Meals and beverages not explicitly stated. Visa and passport fees. Travel insurance. Optional activities and personal expenses. Tips for guides.

2.9 Age & Health Requirements: You must be at least 18 years old to use the Trip Services, including Booking any Trip. By Booking a Trip through the Trip Services, you confirm that you are at least 18 years old. It is your responsibility to ensure that you are physically fit to fully participate in the Trip and to seek appropriate medical advice regarding the latest health requirements and recommendations for your destination. SideQuests Travel LLC and the Operators reserve the right to remove any Traveler, or deny any service to a Traveler, if there are concerns regarding the individual’s health or safety, or the well-being of the group. Any such decisions regarding health or safety are made at the discretion of SideQuests Travel LLC and/or the Operator.

2.10 Passport and Visas: You are required to have a valid passport and obtain all necessary visas, permits, and certificates for the countries you will visit during your Trip. Your passport must be valid for at least 6 months beyond the duration of your Trip. It is your sole responsibility to ensure you have the correct visas, permits, and certificates for your travels. We are not liable if you are denied entry to any country due to incorrect or missing travel documentation, including passport or visa requirements.

2.11 Flexibility of Travel: You agree and acknowledge that the nature of this type of Travel requires significant flexibility, and you should be prepared for potential changes. The itinerary provided for each Booking is indicative of the types of activities planned, but the route, schedules, accommodations, and modes of transportation may be subject to change without prior notice. The Company is not responsible for any such alterations.The Operators reserve the right to modify the Trip itinerary. If the Operator makes a significant change to the itinerary, we will notify you as soon as reasonably possible, provided there is enough time before the departure date. The Operators reserve the right to modify the itinerary after the Trip has begun due to unforeseen local circumstances or events beyond their control. Please note that we are not liable for any incidental expenses that arise from itinerary changes, including but not limited to costs related to visas, vaccinations, or flights.

2.12 Acceptance of Risk: You acknowledge that the Trip carries a certain level of personal risk. It is your sole responsibility to familiarize yourself with all relevant travel information and the specifics of your itinerary. By choosing to travel, you confirm that you have considered this information and accept the personal risks associated with such travel.

2.13 Authority During the Trip: You are required to adhere to the laws, customs, foreign exchange, and drug regulations of all countries you visit. If you do not follow the instructions of an Operator or any Trip Leader designated by the Operator, or if your actions disrupt the well-being or progress of the group, the Operator or Trip Leader may require you to leave the Trip immediately, with no right to a refund. Additionally, the Company reserves the right to refuse to provide you with services in the future.

2.14 On-Trip Behavior and Early Departure: The Company, or Operator, or Trip Leaders, reserve the right to remove a Traveler at any time during the Trip due to actions, inactions, communications, or any other behavior deemed to pose a security risk or negatively impact the safety or dynamics of the trip, at the Company’s or Operator’s sole discretion. In such cases, the Traveler may not be entitled to any refund or compensation, and the Company may choose not to provide future services to the Traveler. Additionally, any costs or fees incurred due to an early departure from the Trip—whether voluntary or initiated by SideQuests Travel LLC or the Operator on the trip—are the sole responsibility of the Traveler.

2.15 Optional Activities: Optional activities that are not included in the Booking price incur additional fees at the time of booking. You acknowledge that your Trip Leaders in arranging these optional activities does not make the Company liable for them in any way. The contract for these activities will be between you and the activity provider or Operator.

2.16 Photos and Marketing: You consent to the use of images taken of you during the Trip for advertising and promotional purposes in any medium the Company chooses. You grant the Company a perpetual, royalty-free, worldwide, and irrevocable license to use these images for publicity and promotional activities.

2.17 Company Privacy Policy Governs Bookings: Any personal information we collect from you may be used for purposes related to the operation of your Booking, the provision of Trip Services, or to send you marketing materials regarding our events and offers. This information may be shared with our agents, service providers, or other suppliers as necessary to facilitate the Trip Services.

2.18 Luggage Restrictions: Each traveler is permitted to bring one large piece of luggage, not exceeding 23kg (50lbs) in weight and with dimensions of 30” x 18” x 10”, one standard carry-on not to exceed 22” x 14” x 9”, and one personal item not to exceed 18” x 14” x 8”. Any extra luggage brought without prior approval from the Company may incur additional storage fees, which will be the responsibility of the Traveler.

3. SEVERABILITY: If any part, term, or provision of this Agreement is found to be illegal, in conflict with the law, or otherwise invalid, the remaining provisions will remain in full force and effect. The rights and obligations of the parties will be interpreted and enforced as if the invalid or illegal part, term, or provision had never been included in the Agreement.

4. LIMITATION OF LIABILITY; DISCLAIMERS: EXCEPT FOR THE COMPANY’S EXPRESS OBLIGATION UNDER SECTION 2 TO PROCESS TRIP PAYMENTS IN ACCORDANCE WITH THE TERMS AND CONDITIONS OF THE TRAVELER’S BOOKING:

(a) THE COMPANY MAKES NO REPRESENTATIONS, WARRANTIES, OR COVENANTS OF ANY KIND WITH RESPECT TO THE COMPANY’S WEBSITE, ANY OTHER COMPANY PROGRAMS, ANY TRIP, TRIP SERVICES, ANY OTHER COMPANY INTELLECTUAL PROPERTY ASSETS, OR ANY CONTENT PROVIDED THEREIN; AND

(b) ALL COMPANY WEBSITES, PROGRAMS, BOOKINGS, TRIP SERVICES, INTELLECTUAL PROPERTY ASSETS, AND CONTENT ARE PROVIDED TO YOU "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT OF THIRD PARTY INTELLECTUAL PROPERTY RIGHTS.

THE COMPANY DISCLAIMS ANY AND ALL WARRANTIES, EITHER EXPRESS OR IMPLIED, STATUTORY OR OTHERWISE, INCLUDING, BUT NOT LIMITED TO, (a) IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE; (b) WARRANTIES AGAINST INFRINGEMENT OF INTELLECTUAL PROPERTY RIGHTS OF THIRD PARTIES; AND (c) ANY IMPLIED WARRANTIES ARISING OUT OF COURSE OF DEALING, COURSE OF PERFORMANCE, USAGE OF TRADE, OR OTHERWISE.

THE COMPANY MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING THE PRODUCTS OR SERVICES OF ANY HOST, OPERATOR, OR OTHER THIRD PARTY PROVIDERS. THIS INCLUDES, BUT IS NOT LIMITED TO, (a) WARRANTIES OF MERCHANTABILITY, (b) FITNESS FOR A PARTICULAR

PURPOSE, (c) TITLE WARRANTIES, OR (d) WARRANTIES AGAINST INFRINGEMENT OF THIRD PARTY INTELLECTUAL PROPERTY RIGHTS.

THE COMPANY’S SOLE AND EXCLUSIVE LIABILITY TO YOU, OR ANY THIRD PARTY, ARISING OUT OF OR RELATED TO YOUR BOOKING OR TRIP SERVICES IS LIMITED TO THE COMPANY'S PROCESSING OF PAYMENTS TO THE APPROPRIATE THIRD PARTY AS PER THE TERMS AND CONDITIONS OF YOUR BOOKING. ALL OTHER SERVICES AND OBLIGATIONS RELATED TO YOUR BOOKING OR TRIP ARE SOLELY AND EXCLUSIVELY THE RESPONSIBILITY OF THE OPERATOR, HOST, OR OTHER THIRD PARTY PROVIDERS. THE COMPANY SHALL NOT BE LIABLE FOR THESE SERVICES OR OBLIGATIONS.

IN NO EVENT SHALL THE COMPANY BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INJURY, PERSONAL INJURY, DEATH, PROPERTY DAMAGE, OR ANY CONSEQUENTIAL, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, EVEN IF SUCH DAMAGES WERE FORESEEABLE OR IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

THE COMPANY'S AGGREGATE LIABILITY UNDER THIS AGREEMENT, INCLUDING BUT NOT LIMITED TO LIABILITY ARISING OUT OF OR RELATED TO A TRAVELER’S BOOKING OR TRIP, SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY THE TRAVELER TO THE COMPANY FOR THE TRIP SERVICES SOLD UNDER THIS AGREEMENT.

5. INDEMNIFICATION: You hereby agree to indemnify, defend, and hold harmless the Company, their employees, officers, agents, and affiliates from any claims, damages, and costs. This includes claims arising from a breach of the agreement, or from the negligent or wrongful acts of the indemnifying party. The indemnified party must notify the indemnifying party of any claims and cooperate with them in their defense.

6.1 GOVERNING LAW: This Agreement will be governed by and construed in accordance with the substantive laws of the State of Oregon without regard to conflict of laws and all disputes arising under or relating to this Agreement shall be brought and resolved solely and exclusively in the State Court located in Oregon. Should any legal action be commenced in connection with this Agreement, the prevailing party in such action shall be entitled to recover, in addition to court costs, such amount as the court may adjudge as reasonable attorneys’ fees.

6.2 JURISDICTION: You hereby expressly consent to the exclusive jurisdiction of the federal and state courts located in the State of Oregon, USA, for any claim or dispute arising from or related to this Agreement, whether involving us or any of our affiliates. You further agree to submit to the personal jurisdiction of such courts in connection with any such dispute, including claims involving our affiliates, subsidiaries, employees, contractors, officers, directors, or agents.

6.3 PROHIBITION OF CLASS OR REPRESENTATIVE ACTIONS: You and the Company agree that any claims made by either party will be brought solely on an individual basis. Neither party may bring or participate in any class action, collective action, or representative action as a plaintiff or class member.

7. CHANGES TO THIS AGREEMENT: The Company retains the right, at its sole discretion and at any time, to modify any provisions of this Agreement, including but not limited to changes to the terms and conditions governing Trip Bookings.

8. MISCELLANEOUS PROVISIONS.

8.1 Entire Agreement; Waiver; Severability: This Agreement represents the complete and exclusive understanding between the Company and each user and Traveler, concerning its subject matter, superseding any prior agreements or communications regarding the same. The Company's failure to enforce any provision of this Agreement does not waive its right to do so in the future. If any part of this Agreement is deemed invalid or unenforceable by a court, the remaining provisions will continue in full force and effect.

8.2 Attorney Fees: In the event that any legal action or suit is brought to enforce this Agreement or related matters, the prevailing party shall be entitled to recover reasonable attorney fees, including those incurred in preparation for, prosecution, or defense of such action, as determined by the trial court. If an appeal is filed, the prevailing party is also entitled to reasonable attorney fees as determined by the appellate court.

8.3 Binding Effect; No Assignment by Traveler; Permissible Assignment by Company: This Agreement shall be binding upon and benefit the parties and their respective successors and lawful assigns. However, the user or Traveler may not assign or transfer this Agreement, in whole or in part, without obtaining prior written consent from the Company, which may be granted or withheld at the Company’s discretion. Any attempt to assign this Agreement in violation of this section shall be deemed null and void. The Company reserves the right to assign this Agreement, or any portion of it, at its sole discretion to any third party, and all provisions hereunder shall be enforceable by such successors.
